These Terms of Service ("Terms") are an agreement between you and Kainuwa Digital Africa Ltd (CAC 8594441, "Kainuwa", "we", "us") about your use of Kainuwa Academy: our website, mobile app, courses, shop and related services (the "Platform"). By creating an account, buying or using the Platform, you agree to these Terms and to our Privacy Policy and Refund and Cancellation Policy. If you do not agree, please do not use the Platform.
1. Your account
- You must be at least 16 years old to create an account, and by registering you confirm that you are. We may ask you to prove your age, and we may close an account that belongs to someone younger than 16.
- Give accurate information and keep it up to date. Verify your email address when asked.
- Keep your password private. You are responsible for what happens under your account. Tell us at once if you think it was accessed without your permission.
- One person, one account. Do not sell, share or transfer your account.
- An account can have different roles (student, instructor, affiliate, organisation owner). Instructors, affiliates and organisations also agree to the extra terms for that role.
2. Courses and learning content
- When you buy or are enrolled in a course, you get a personal, non-transferable licence to watch and use it for your own learning.
- Courses are owned by Kainuwa or by the instructors who created them. You must not copy, record, share, resell or publish course content, or share your access with others.
- If a course is later unpublished, you keep access to the courses you already own, unless your account was closed for breaking these Terms or the content was removed for legal reasons.
- Certificates are issued only when you meet the completion requirements of the course. We may withdraw a certificate obtained by cheating.
- Courses are for education. They are not professional, legal, financial or investment advice, and results are not guaranteed.
3. Prices and payment
- Prices are shown in ₦ (Naira). A VAT of 7.5% is added to the price at checkout.
- You can pay with the methods shown at checkout: Paystack and Flutterwave (cards, bank transfer, USSD) or KAIDA Points where allowed. Payments are handled by the gateways, not by us.
- The price is always checked again on our server when you pay, so a price shown wrongly on your screen cannot be used to pay less.
- Access is given after the gateway confirms your payment. If you were charged and did not get access, contact us with your payment reference and we will fix it or refund you.
- Coupons have rules (expiry, limits, the items they apply to). Misusing coupons or creating several accounts to get discounts can lead to cancellation of the purchase and suspension.
4. KAIDA Points
KAIDA Points are a platform credit used inside Kainuwa Academy. They are not money, are not a bank balance, earn no interest, and cannot be transferred between accounts. They cannot be exchanged for cash or for any other asset unless we say so in writing.
- Getting points. You may receive points as a welcome bonus when you join and verify your account (the amount can be different on the website and in the app, and we may change or stop it at any time), as rewards for learning activities and some purchases, through promotions or credits from us and, if you are an instructor or affiliate, as bonus points on sales.
- Spending points. Points are spent only on items marked eligible. An instructor decides, course by course, whether a course can also be bought with points. The naira price stays the same; the price in points is worked out from it at the platform rate, currently ₦1 for 1 point. We may change the rate for future purchases.
- Instructors who accept points. When a student pays for a course with points, the instructor receives those points instead of naira for that sale, as described in the Instructor Terms.
- Possible future use. We plan to look at letting points be converted into the KAIDA Token. This is a plan, not a promise or an offer. If it happens it will have its own terms, may be limited, may need extra checks, and may treat points differently depending on how they were obtained (for example, points given free of charge may not qualify).
- Fair use. Creating fake or duplicate accounts, or any trick to collect points, buy courses with them or move them between accounts, is abuse. We may remove the points, reverse the purchases and suspend the accounts involved. We may also adjust or correct a balance if we find an error.
5. Gift courses
You can buy a course as a gift for another person's email address. The recipient claims it with a code we send. A gift that has been claimed cannot be refunded. We are not responsible if you type the wrong email address.
6. Shop
Physical products are delivered to the address you give us, and delivery cost and time are shown at checkout. Digital products are available for download after payment and the download link is for your use only. See the Refund and Cancellation Policy for returns.
7. Organisation plans
An organisation plan is paid for a fixed period and does not renew by itself. It stays active until the end date and expires the day after. After it expires, the organisation's members lose access to courses that were provided through the plan.
8. Community rules
When you use messages, forums, questions, reviews, assignments or the AI assistant, you agree not to:
- post anything unlawful, abusive, hateful, sexual, threatening, defamatory, false or misleading;
- harass others, spam, or promote unrelated products;
- upload malware or files you have no right to share;
- try to break into the Platform, test its security without permission, scrape it, or overload it;
- cheat in quizzes and assignments or use another person's work as your own.
You can report a lesson, quiz, assignment or file that breaks these rules using the report button. We review content and may remove it or suspend the people responsible.
9. Your content
You keep ownership of what you post. You give us a worldwide, non-exclusive licence to host, show and process it as needed to run the Platform. You promise that you have the right to post it and that it does not break anyone's rights or the law.
10. AI assistant
The AI assistant gives automated answers that may be wrong or incomplete. Check important information yourself. Do not rely on it for legal, medical, financial or investment decisions. Chats may be reviewed to improve the service and to find abuse.
11. Mobile app and availability
We may update the app and may require you to install the latest version to keep using it. We work to keep the Platform available, but it may be interrupted for maintenance, by problems with our providers, or events outside our control.
12. Suspension and ending your account
We may warn, restrict, suspend or close an account, and cancel purchases made through fraud or abuse, if you break these Terms, the law or other people's rights, or put the Platform or other users at risk. You may close your account at any time as described in our Account Deletion Policy.
13. Liability
The Platform is provided "as is" and "as available". To the fullest extent the law allows, Kainuwa is not liable for indirect or consequential loss, loss of profit, income or data, or for the actions of instructors, other users or third-party services. Our total liability to you for any claim about a purchase is limited to the amount you paid for that purchase. Nothing in these Terms excludes or limits any liability, or any right you have, that cannot lawfully be excluded or limited, including liability for fraud, for death or personal injury caused by negligence, and your rights as a consumer under Nigerian law, including the Federal Competition and Consumer Protection Act 2018.
14. Changes
We may change these Terms. The date at the top shows the latest version. If a change is significant, we will tell you by email or a notice on the Platform. If you keep using the Platform after the change, you accept the new Terms.
15. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the courts of Nigeria. We encourage you to contact us first so we can try to resolve the problem together.
