Welcome to the Kainuwa Digital Africa Affiliate Program! These Affiliate Terms & Conditions ("Terms") govern your participation in our affiliate program ("Program"). By signing up or participating, you agree to these Terms in their entirety. If you do not agree, you may not participate in the Program.
0. Definitions
For the purpose of these Terms:
- "Kainuwa Digital Africa" refers to Kainuwa Digital Africa Ltd, its affiliates, and partners.
- "Affiliate" refers to any approved participant who promotes Kainuwa Digital Africa courses or services in exchange for a commission on qualifying sales.
- "Referral" means a new customer or student who purchases a course or subscription through the Affiliate’s unique referral link.
- "Commission" refers to the earnings paid to an Affiliate for qualifying sales made through their referral link.
1. Joining the Program
To become an Affiliate, you must submit an application through the Kainuwa Affiliate Dashboard. Kainuwa Digital Africa reserves the right to approve or reject any application at its sole discretion, with or without reason.
Upon approval, you will gain access to your Affiliate Dashboard, where you can generate referral links, track clicks, view commissions, and request payouts.
2. Affiliate Responsibilities
As a Kainuwa Affiliate, you agree to the following:
- Promote Kainuwa Digital Africa courses and services truthfully and ethically.
- Use only approved banners, text links, or creatives provided by Kainuwa unless otherwise authorized in writing.
- Not engage in any misleading, false, or deceptive marketing practices.
- Not use spam, unsolicited emails, bots, fake clicks, or similar fraudulent methods to generate referrals.
- Not bid on Kainuwa brand terms or trademarks in paid advertising (e.g., “Kainuwa”, “Kainuwa Academy”).
- Comply with all applicable laws and regulations, including data protection and advertising laws.
3. Commission Structure
Affiliates earn a commission for each qualifying sale made through their referral link. The commission rate and structure are determined by Kainuwa and may vary by product type or promotional campaign.
3.1 Commission Example
- If an Affiliate’s commission rate is 10% and a referred student purchases a course worth ₦10,000, the Affiliate earns ₦1,000.
- Commissions are calculated on the net amount (after discounts, refunds, and transaction fees).
3.2 Commission Adjustments
Kainuwa Digital Africa reserves the right to adjust commission rates or exclude specific products from commission eligibility at any time. Affiliates will be notified in advance if such changes occur.
4. Cookie Duration
When a potential customer clicks your referral link, a tracking cookie is placed in their browser. If they make a purchase within the cookie validity period, you earn a commission.
The default cookie duration is 30 days unless otherwise specified by Kainuwa.
5. Payouts
- Affiliate commissions will appear as “Pending” until the refund or cancellation period for the referred purchase has passed (typically 7–14 days).
- Payouts are processed according to the schedule and minimum withdrawal amount stated on the Payouts page.
- You are responsible for providing accurate payout details (e.g., bank account, wallet, or payment method).
- Kainuwa Digital Africa is not responsible for failed or delayed payments due to inaccurate information.
6. Prohibited Activities
You may not:
- Promote Kainuwa using adult, violent, or illegal content.
- Use your own referral link to purchase Kainuwa products (“self-referrals”).
- Impersonate Kainuwa Digital Africa or any of its representatives.
- Use coupon sites, cashback schemes, or misleading discount claims without prior approval.
Violations of these rules may result in immediate termination of your affiliate account and forfeiture of unpaid commissions.
7. Termination
Either party may terminate this Agreement at any time, with or without cause, by giving written notice. Upon termination, you must remove all Kainuwa promotional materials and links from your channels.
Kainuwa Digital Africa may withhold unpaid commissions if fraudulent, deceptive, or abusive activities are detected.
8. Taxes & Compliance
You are solely responsible for any taxes, levies, or duties arising from your participation in the affiliate program. Kainuwa Digital Africa does not withhold taxes unless required by law.
9. Modifications to Terms
Kainuwa Digital Africa reserves the right to modify or update these Terms at any time. Changes will be communicated through email or platform notifications. Continued participation in the program after such updates constitutes your acceptance of the revised Terms.
10. Limitation of Liability
Kainuwa Digital Africa shall not be liable for any indirect, incidental, or consequential damages (including loss of revenue, profits, or data) arising in connection with the affiliate program or these Terms.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Nigeria.
