Last updated: 14 October 2026. These Instructor Terms ("Terms") are a binding agreement between you and Kainuwa Digital Africa Ltd (CAC 8594441, "Kainuwa") for publishing and selling courses on Kainuwa Academy. By applying to be an instructor, or by publishing a course, you agree to them, and to our Terms of Service.
1. Your relationship with Kainuwa
You are an independent contractor, not an employee, partner or agent of Kainuwa. You cannot act for Kainuwa or bind it. You are responsible for your own taxes on what you earn.
2. What you promise
- Your account and payout information is accurate.
- You own, or have permission to use, everything you upload (video, audio, text, images, files), and it does not infringe anyone's rights.
- You have the knowledge and qualifications to teach what you offer.
- You will answer students politely and on time.
- You will not post abusive, hateful, sexual, false, misleading or defamatory content.
3. How a course goes live
- Draft: you build the course. It is not visible to students.
- In review: you submit it. The Kainuwa team checks quality, accuracy and our rules.
- Changes requested: we send it back with a note. You fix it and submit again.
- Published: approved courses go live and can be bought.
- Unpublished: a course hidden from new buyers. You can unpublish your own course and bring it back yourself. A course hidden by Kainuwa, or because the instructor account was suspended, can be brought back only by Kainuwa.
Students who already bought a course keep their access even if it is unpublished. A course or lesson that students already own cannot be deleted, because that would remove what they paid for.
4. Editing a live course
Changes to a published course, or to a course that already has students, can be reviewed. Depending on the review setting at the time, your changes go live and are recorded for checking, or they wait for approval while students keep seeing the approved version. Kainuwa may reverse a change that breaks these Terms. Students can also report a lesson, quiz, assignment or file, and we may review it, ask you to fix it or remove it.
5. Your earnings
- What is shared. Your earnings are worked out on the course fee the student actually paid, after any coupon or discount and without tax. Tax is not income to you or to Kainuwa.
- Revenue share. Kainuwa keeps a platform fee, currently 20%, and you receive the rest, currently 80%. The fee is set in the platform settings, so this page always shows the rate in force today. A change applies only to sales made after it takes effect; earlier sales keep the rate they were made at.
- Your own link. If a student buys your course after using your own affiliate link, or without any affiliate, it is an ordinary sale: no commission is paid and the normal share applies.
- Affiliate sales. If a student comes through another person's affiliate link, the affiliate's commission is taken from the course fee first. The rest is then shared between you and Kainuwa at the rates above. So an affiliate sale pays you less than a direct sale, and the affiliate commission is shared by you and Kainuwa in the same proportion.
- Free enrolments (free courses, 100% coupons, manual enrolments) do not earn revenue.
- Payment costs. At present gateway fees are not deducted from your share. If this changes, we will give at least 30 days' notice.
- Bundles. If your course is sold in a bundle, your earnings are in proportion to your course's normal price within the bundle. This applies even where the student already owned your course. No affiliate commission is paid on bundles.
- Gifts. When a student buys your course as a gift, you earn as for a normal sale when the gifter pays.
- Holding period. Each sale is held for 7 days before you can withdraw it, so that refunds and chargebacks can be dealt with.
- Refunds. If a sale is refunded, your earnings for that sale are reversed. If you have already been paid for it, the amount is deducted from your next payout, and your balance can go below zero until it is.
- KAIDA Points (optional, per course). You choose which of your courses students may buy with KAIDA Points; they are off until you turn them on and agree to the terms on the KAIDA Points page. The naira price stays the same, and points are an extra way to pay, priced at the platform rate (1 point = ₦1). When a student pays with points, you receive 100% of those points instead of naira for that sale; Kainuwa takes no fee on points sales. The points go to your KAIDA Points wallet and can be spent on courses and promotions on the platform; they are not paid out in cash. Converting points to the KAIDA Token is only a plan (see the Terms of Service). Points from a sale are available at once and are not held. If a sale paid in points is refunded, the points are returned to the student and taken back from you, and your balance can go below zero until you receive more.
- Bonus points. Kainuwa may also give you bonus points on every sale of your courses, whether paid in naira or in points: currently 10% of the sale value (0% means none are paid at the moment). Bonus points are taken back if the sale is refunded.
- Organisation plans. When an organisation pays for a plan, 50% of the amount goes into an instructor pool. The pool is released in 30-day parts and shared between instructors in proportion to the lessons the organisation's learners complete in their courses (each learner counts once per lesson, and a daily limit per learner applies to prevent abuse). A part with no completions rolls forward. Anything left in the pool when the plan ends stays with Kainuwa.
- Promotions. Kainuwa may run promotions. If one changes the revenue share for your course, we will tell you the terms in advance.
6. Getting paid
- Request a withdrawal from your Instructor dashboard once your available earnings (after the holding period) reach the minimum of ₦5,000.
- Add a bank account and confirm it with the code we send you. Requests are reviewed and approved by us.
- You are responsible for giving correct details and for any tax on your income. We do not withhold tax unless the law requires it.
7. Paid promotion (optional)
You can pay to feature your own course for a period. A promotion is not refundable once it has started (see the Refund Policy). It does not guarantee sales.
8. Licence to Kainuwa
You keep ownership of your content. By publishing a course you give Kainuwa a licence to host it, show it to users, sell it, process payments for it and use short extracts in marketing. You can still publish your content elsewhere. Images you upload are compressed to save space; this is not meant to change how they look.
9. Conduct
- Be professional with students and respect their privacy. Do not share their personal information or use it for anything outside the course.
- Deliver the updates, support and answers you promised.
- Do not ask students to pay you outside the platform for the same course.
- Follow copyright, data protection and other laws.
10. Ending
You can unpublish your courses and leave at any time. Students who already bought keep their access. Kainuwa may remove courses, hold earnings under investigation, or close your instructor account if you break these Terms or our policies. If your account is suspended, your courses are unpublished.
11. Taxes
You alone are responsible for working out and paying the taxes on your earnings. Kainuwa does not give tax advice.
12. Changes to these Terms
We may update these Terms. Significant changes will be sent by email or shown on the platform. Continuing to use the platform after that means you accept them.
13. Liability
Kainuwa is not liable for indirect or consequential loss, including lost income, arising from these Terms, except where the law does not allow it.
14. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria and the courts of Nigeria.
