Instructor Terms & Conditions

Welcome to Kainuwa Digital Africa! We are thrilled that you want to share your knowledge with our community. These Instructor Terms & Conditions ("Terms") are a binding agreement between you and Kainuwa Digital Africa and govern your use of our platform as an instructor. By applying to become an instructor, you agree to these Terms in their entirety.
0. Definitions
For the purpose of these Terms:
- "Kainuwa Digital Africa" refers to Kainuwa Digital Africa Ltd, its affiliates, and partners.
- "Instructor" refers to a user approved to publish and sell courses on the Kainuwa platform.
- "Student" refers to any user who purchases or enrolls in a course.
- "Submitted Content" means any content, including text, audio, video, images, or files, uploaded by the instructor to the platform.
1. Your Relationship with Kainuwa
You are an independent contractor, not an employee, partner, or agent of Kainuwa Digital Africa. You are solely responsible for your own tax obligations on the income you earn. You do not have the authority to represent or bind Kainuwa Digital Africa in any way.
2. Instructor Responsibilities
As an instructor, you represent, warrant, and covenant that:
- You will provide and maintain accurate account information.
- You own or have the necessary licenses, rights, consents, and permissions to authorize Kainuwa to use your Submitted Content as specified in these Terms.
- Your Submitted Content will not infringe upon any third party's intellectual property rights.
- You have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content.
- You will respond to students in a timely and professional manner.
- You will not post any abusive, racist, hateful, sexist, pornographic, false, misleading, or defamatory content.
3. Content Review & Approval
All new courses and significant updates to existing courses are subject to review by the Kainuwa team before being published. We reserve the right to reject, unpublish, or delete any course that does not meet our quality standards or violates these Terms, with or without prior notice. Our primary goal is to ensure a high-quality, safe learning experience for all students.
4. Revenue Share, Payments, & Sales
When a student purchases your course, we calculate the gross amount of the sale. From this, we subtract any transaction fees, processing fees, and then calculate the revenue share.
4.1 Revenue Share Breakdown
The platform commission rate is set globally by the administrator. Your net revenue share will be calculated as follows:
- Standard Sales: For any sale that does not involve a promotion or affiliate referral, you will receive your share of the net revenue after the platform commission is deducted. For example, if the platform commission is 20%, you receive 80% of the net revenue.
- Promotional Sales: Kainuwa may run promotional programs to help market your courses. If your course is sold via a platform-wide promotional campaign (e.g., a "Black Friday Sale"), the revenue share may be adjusted. The terms of any such promotion will be communicated to you.
- Affiliate Sales: If a student purchases your course using an affiliate's referral link, the affiliate's commission will be deducted from the net revenue before the remaining amount is split between you and the platform.
4.2 Course Bundles & Subscriptions
- Course Bundles: If your course is included in a "Course Bundle" sold by Kainuwa, your revenue will be calculated proportionally. Your portion will be based on your course's standalone price as a percentage of the total standalone price of all courses in the bundle.
- Organization Subscriptions: If your course is accessed by a student as part of an Organization's bulk subscription plan, your revenue will be calculated from a monthly pool. A portion of the organization's monthly subscription fee is allocated to an "instructor revenue pool," which is then distributed among instructors based on the proportional number of enrollments their courses received from that organization's members.
4.3 Payouts
You can request a payout of your available earnings from your Instructor Dashboard. Payouts are processed according to the schedule and minimum withdrawal amount specified on the Payouts page. To receive payment, you must have a valid payout method on file. You are responsible for providing accurate payout information and for any taxes due on your income.
5. Content Licensing
By publishing a course on our platform, you grant Kainuwa Digital Africa a license to offer, market, and sublicense your course to students. This does not change your ownership of the content. You retain all rights to your content and can publish it elsewhere.
This license allows us to, for example, use snippets of your course in promotional materials, display it to logged-in users, process payments for it, and make it available to students who have enrolled.
6. Termination
You can choose to unpublish your courses and terminate your relationship with Kainuwa at any time. We will continue to provide access to your courses for students who have already purchased them for the duration of their lifetime access.
Kainuwa Digital Africa reserves the right to remove your courses and terminate your instructor account if you violate these Terms or our platform's policies.
7. Instructor Code of Conduct
As a representative of Kainuwa Digital Africa’s learning community, you agree to:
- Maintain professionalism in all student interactions.
- Deliver promised course updates, support, and assistance on time.
- Respect student privacy and not share personal information.
- Abide by all applicable laws, including copyright and data protection laws.
8. Taxes & Compliance
You are solely responsible for determining and fulfilling your tax obligations arising from your course sales and earnings on the Kainuwa platform. Kainuwa Digital Africa does not withhold or remit taxes on your behalf unless required by applicable law.
9. Modifications to Terms
Kainuwa Digital Africa reserves the right to modify or update these Terms at any time. Significant changes will be communicated through email or platform notifications. Continued use of the platform after such changes constitutes your acceptance of the revised Terms.
10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Nigeria.
